2. Scope of Services

Developer agrees to design, develop, and deliver a custom website for Client as described in Exhibit A. Any work outside the scope defined in Exhibit A — including additional pages, custom features, or e-commerce functionality not originally agreed upon — requires a written change order and may incur additional fees.

3. Project Fee & Payment Terms

4. Ongoing Maintenance, Hosting & Security

Following launch, Client agrees to a recurring monthly fee (specified in Exhibit A) covering website hosting, routine security updates and monitoring, minor content updates (under 15 minutes), uptime monitoring, and backups.

This monthly fee is separate from the Project Fee and any BoostedSEO fee. Client may cancel the maintenance plan with 30 days' written notice. After cancellation, Developer is not obligated to continue hosting or updating the site. Client is responsible for arranging migration.

Migration Fee: If Client requests assistance migrating to a new host, a fee of $300 applies.

5. BoostedSEO Monthly Service

Client may elect to add Boostinger's BoostedSEO monthly service, which includes on-page SEO optimization, AI-driven competitor research, daily published articles (average 1,500–2,500 words), monthly backlinks and mentions, and monthly performance reports.

Disclaimer: SEO results vary based on search engine algorithms, competition, and market conditions. Developer does not guarantee specific rankings, traffic, or business outcomes.

6. Delivery Timeline

Developer will deliver the completed website within 7 business days for Basic and Standard Tier projects, or 14 business days for Premium Tier projects. The timeline begins only after: (1) full execution of this Agreement, (2) receipt of the deposit, and (3) receipt of all required Client content and assets.

Client Delays: Delays caused by Client's failure to provide timely content, feedback, or approvals will extend the delivery date proportionally. If Client is inactive for 14 days, the project is paused. If inactive for 30 days, Developer may close the project and a restart fee may apply.

7. Client Responsibilities

Client agrees to provide all necessary content (text, images, logos, branding materials), feedback, and approvals in a timely manner. Client warrants that all materials provided are owned by Client or properly licensed. Developer is not liable for copyright issues arising from Client-provided materials.

7A. Indemnification

Client shall indemnify, defend, and hold harmless Developer from third-party claims arising out of Client's use of the website, Client's breach of this Agreement, or materials provided by Client. Developer shall indemnify Client against third-party claims that custom code or design elements created by Developer infringe a third party's intellectual property rights, excluding claims arising from Client-supplied materials or Client modifications.

8. Revisions

The Project Fee includes two (2) rounds of revisions. Both rounds must be requested and the corresponding Client feedback provided within thirty (30) calendar days following delivery of the initial draft. Additional revisions or substantial scope changes will be billed at $65/hour or handled via a written change order.

8.1 Acceptance

Upon delivery of the initial draft or any subsequent revision, Client shall have five (5) business days to review the deliverable and provide written notice of acceptance or of any material non-conformity. If Client fails to provide written notice within the five (5) business day review period, the deliverable shall be deemed accepted.

9. Ownership & Intellectual Property

Client owns all website content, branding, and domain. Developer retains ownership of proprietary tools, templates, and platform technology used to build or host the site. Developer may showcase the completed project in its portfolio unless Client opts out in writing. Client opt-out fee is $100.

10. Third-Party Costs & Third-Party Failures

Costs for domain registration, plugins, licenses, premium stock imagery, or other third-party services are not included unless stated in Exhibit A. Developer is not responsible for outages, failures, or issues caused by third-party providers, hosting companies, plugins, APIs, or external services.

11. Cancellation & Termination

12. Late Payment

Invoices unpaid after 7 days from delivery of completed website are subject to a 5% late fee. Developer may withhold final files, hosting access, or site transfer until the balance is paid. If Client is unresponsive after 60 days, the project will assume forfeiture and the domain will be disconnected from hosting services.

13. Warranty & Post-Launch Support

Developer warrants that the website will function substantially as described in Exhibit A and on current major browsers as of the delivery date. A 14-day warranty period applies for bug fixes. Bugs caused by Client edits or third-party changes are not covered. Except as stated, the website is provided "as is." Developer makes no guarantees regarding search rankings, sales, leads, or business results.

14. Limitation of Liability

Developer's total liability under this Agreement shall not exceed the total amount paid by Client. Developer is not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

15. Confidentiality

Both Parties agree to keep confidential any proprietary or sensitive business information shared during this engagement.

16. Independent Contractor

Developer is an independent contractor. Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship.

17. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California. Before litigation, Parties agree to attempt resolution through mediation. Venue for disputes shall be in Riverside County, California.

18. Entire Agreement

This Agreement, including Exhibit A and any signed change orders, constitutes the entire agreement between the Parties. Amendments must be made in writing and signed by both Parties.

19. Force Majeure

Neither Party shall be liable for delay or failure to perform obligations (other than payment obligations) due to causes beyond its reasonable control, including natural disasters, internet or utility outages, acts of government, labor disputes, or failures of third-party providers. If such an event continues for more than 30 days, either Party may terminate this Agreement upon written notice, with Section 11 governing the resulting deposit/payment treatment.

20. Assignment

Neither Party may assign this Agreement without the prior written consent of the other Party, except that Developer may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets without Client's consent. Developer may also subcontract portions of the work to third parties without Client's consent, provided Developer remains responsible for their performance.
